Declaration

(hereinafter “Supplier”), as a supplier of Foxconn Technology Group(Note), is fully aware of and understands that the business activities and industrial products provided by Supplier may have impact on society, environment and Foxconn Technology Group. In order to carry out the social responsibility, Supplier hereby represents and warrants that:

1. Supplier warrants that all the products and components provided to Foxconn Technology Group do not directly or indirectly contain the “Conflict Minerals” from mines located in areas under the control of armed groups in the Democratic Republic of the Congo or an adjoining country. The “Conflict Minerals” includes but not limit to Cassiterite, Wolframite, Columbite, Gold or their derivatives mined from the above mentioned mines, especially for gold, tantalum, tin and tungsten.

2. Supplier shall submit the relevant investigations for “Conflict Minerals” requested by Foxconn Technology Group，and assures that all the information provided are true and accurate.

3. Supplier will take positive action to defend, indemnify and hold Foxconn Technology Group harmless from and against any and all claims, liabilities, losses, costs and expenses arising out of or in relation to non-compliance with this Undertaking. Foxconn Technology Group may take any its debt to Supplier to offset any sum or sums which Supplier is liable to pay to Foxconn Technology Group under this Undertaking.

4. Any amendment to this Undertaking shall not be effective without Foxconn Technology Group’s prior written consent.

5. This Undertaking has been duly executed by Supplier’s legal or authorized representative on the date as set forth herein.

Note: Foxconn Technology Group, as provided in this Warranty, means itself and its affiliates,

including but not limited to Hon Hai Precision Industry Co., Ltd., Foxconn International

Holdings Limited., Foxconn Technology Co., Ltd., Foxconn Advanced Technology Ltd.,

Chimei Innolux Corporation.,ltd.,, Pan-International Industrial Corp., CyberTAN Technology Inc., Foxsemicon Integrated Technology Inc., their subsidiaries and affiliates.
