not need to pay the rent but shall pay management fee, water, electricity, gas, communication and other utilities on a basis of actual consumption.

9. 诚意金和保证金

Earnest Money and Security Deposit

9.1 乙方应在签署本意向书后十五日内向甲方支付相当于一个月租金和物业管理费之和的诚意金。在双方签署正式租赁合同

后,诚意金(均分部分)将转作相应租赁合同项下乙方的部分保证金。若乙方逾期交纳的,甲方有权终止该意向书。 Party B shall pay Party A an earnest money equal to aggregate of one-month rent and management fee within 15 days upon execution of this LOI. When both Parties reach the final lease contract, the equal distribution of the earnest money will become part of Party B’s Security Deposit to Party A under relevant lease contract. If Party B would not pay Earnest Money according to LOI, Party A should terminate this LOI.

9.2 乙方应于签署正式租赁合同后十五日内,向甲方支付相当于三个月租金和物业管理费之和的保证金。

The security deposit of the formal lease contract, which is equivalent to aggregate of three (3) months rent and management fee,

shall be paid by Party B to Party A within 15 days after signing of the formal lease contract.

9.3 乙方同意将上述诚意金和保证金汇入如下账户:

10. POS条款

POS clause

乙方同意有偿使用甲方提供的POS机并承担相关费用。

Party B agrees to use Party A’s POS and bear all relevant cost.

11. 交付条件

Conditions of Premises

甲方将按本意向书的交付条件向乙方交付该商铺(具体详见附件“交房标准”),乙方应按甲方的“装修守则”进行设计和装修。该商铺的店面、天花、地板经甲方事先书面批准后,由乙方负责自费设计制作。

Party A shall deliver the Premises to Party B according to the “Conditions of Premises” attached to this LOI. All the designs and constructions by Party B in Premises shall follow the “Tenant Design and Construction Guideline” constituted and published by Party A. Party B shall be responsible for designing and building the storefront, ceiling and floor of the Premises subject to Party A’s written approval in advance at its own cost.

12. 推广活动

Promotion Activities

为了吸引商场人流,促进扩大销售,乙方同意自行负责每年举办至少 次大型推广活动,并积极配合参加甲方组织的推广活动。 To draw traffic and promote sales of the Center, Party B agrees to hold at least (times) promotion activities per year in the Center, and participate actively in all promotion and marketing activities held by Party A.

13. 营业额要求

Sales Requirement

若乙方每月营业额(含税)连续 个月低于人民币 元的,甲方有权选择提前终止租赁合同。

If Party B’s monthly gross sales fall below consecutive months, Party A has right to early terminate Lease Contract.
